Call to the Annual Membership Meeting of the Tenant Resource Center

The 2019 Annual Membership Meeting of the TRC will be on Thursday, June 20, 2019 at 6:00pm at the Madison Senior Center - 330 W. Mifflin St

How to get credentialed as a voting member of TRC

TRC is a membership organization. Per section 3.01 of our Constitution,

(1) A Voting Members of the Tenant Resource Center shall include only the following:

(a) During their continuance as a volunteer, and during the following fiscal year, any person who volunteers five or more hours for the Tenant Resource Center; and

(b) During their term as director, and during the following fiscal year, any member of the Board of Directors of the Tenant Resource Center; and

(c) During the year in which they are elected, and during the following fiscal year, any person elected by the voting membership as a voting member.

(d) During their continuance under the employment of this corporation, and during the following fiscal year, any person employed by the corporation.

(e) During the year in which they are elected, and during the following fiscal year, any person appointed in writing by a majority of the voting members. Appointments shall be presented to the Board of Directors.

No additional members were elected at last year's meeting, so the following people are current members of TRC:

1. Anyone employed by TRC in 2018 or 2019.
2. Anyone on the Board in 2018 or 2019.
3. Anyone who volunteered at least five hours in 2018.
4. Anyone who volunteered at least five hours in 2019.

We've done our best to identify all the members by those criteria, but it's possible we've missed people. If you believe you're a member, contact credentialing@tenantresourcecenter.org and let us know whether you're a member because you were an employee, a board member, or a volunteer. If you were a board member or employee, include when you stopped doing that. If you were a volunteer, include what you did as a volunteer and roughly when you did it.

Annual Membership Meeting

Check-In

As members arrive, they will be confirmed to be on the TRC Membership List 2019.

  • Each member will be issued a Director ballot and a voting paddle.
  • Each proxy will be issued a Director ballot and a voting paddle.
    • A member may also be a proxy.
    • Someone may be a proxy for multiple members.
    • Therefore, one person may control multiple votes at the meeting.
  • Anyone not yet credentialed may see the Credentialing Committee and return to the sign-in desk if certified.

Credentialing

Anyone not yet certified as a member who arrives no later than the scheduled start time of the meeting may request an immediate determination of membership from the Credentialing Committee. See above for details.

Non-Members

If there are seats remaining after all members have been seated, people who wish to attend the meeting but are not members, proxies, or candidates for the Board of Directors may enter the meeting room and be seated.

Agenda Background

Per section 3.02 of the TRC Constitution, "...[t]he following items shall be placed on the agenda of the annual voting membership meeting, and nothing else shall be in order:

(a) call to order;
(b) annual report of the Board of Directors to the voting membership;
(c) election of the directors to the expiring seats on the Board of Directors as provided for in chapter four of this constitution;
(d) nomination and election of members;
(e) such other business as is placed on the agenda by the Board in the call;
(f) such other business as is requested by at least ten percent of the voting membership and is placed in the call;"

Election of Directors

Each member will receive a ballot when signing in at the beginning of the meeting. Proxies will also receive ballots, and someone who is a member and a proxy and/or a proxy for multiple members may receive multiple ballots.

Each candidate for the Board will make a personal statement, and all candidates will have the opportunity to answer questions in a moderated session. After this, you will fill out and turn in your ballot.

A member may case one vote each for up to nine directors. If a member votes for fewer than nine candidates, that member's remaining votes are not counted. If a member votes for more than nine candidates, that ballot is invalid and will not be counted.

In the event of a tie for the last seat, there will be an immediate runoff election for that seat. Once ballots have been cast, we will take a short recess to tabulate the results. All ballots will remain in sight at all times. Any member or candidate is welcome to stay in the room to observe.

After the recess, the tabulators will announce the new Board of Directors. If any member contests the results, that person may immediately perform a recount.

Mission

Per the TRC Constitution section 2.02, the mission statement of the organization is:

The Tenant Resource Center is a non-profit organization dedicated to promoting positive relations between rental housing consumers and providers throughout Wisconsin. By providing access to conflict resolution and education about rental rights and responsibilities we empower the community to obtain and maintain quality affordable housing.

How to Apply to be a Director

Anyone is welcome to apply to the Board of Directors of the Tenant Resource Center. You can download an application from the TRC website and email the completed application to board@tenantresourcecenter.org. Current members of the Board must reapply to be eligible for reelection.

Submit your application by Thursday, June 13, 2019 to be eligible to be elected at the TRC Annual Membership Meeting 2019.

Questions for Candidates for the Board of Directors

Any member may submit questions they would like the candidates for director to answer at the Annual Membership Meeting. A Moderator from the TRC staff will choose three questions that will best allow members to make an informed decision about the candidates and will ask the candidates those questions at the Annual Membership Meeting.

Submit your questions to sterling@tenantresourcecenter.org by Monday, June 17. The Moderator will send the list of questions to the candidates at least a day before the meeting.
